The Shape Interiors is a design consultancy and 3D visualization service provider, operating under the laws of Pakistan. By engaging with The Shape Interiors or commencing any project with us, you (the “Client”) acknowledge and agree to be bound by the following Terms and Conditions, which shall apply to all services rendered.

Section 1: General Terms & Conditions

  1. Agreement and Acceptance
    • Entire Agreement: This document, combined with a project-specific Proposal or Invoice provided by The Shape Interiors, constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and representations.
    • Proposal Validity: All Proposal details, including pricing and timelines, are valid for a period of two (2) working days from the date of issuance. Failure to accept or make the required initial deposit within this period renders the Proposal void and subject to re-quotation.
    • Electronic Acceptance: The Client’s approval, whether via electronic signature, email confirmation, or initiation of payment, signifies full and binding acceptance of these Terms and Conditions.
  2. Pricing, Fees, and Payment
    • Non-Negotiable Pricing: All prices and rates are fixed, non-negotiable, and established as per company policy, unless expressly agreed upon in writing by an authorized representative of The Shape Interiors.
    • Tax Exclusion: All prices quoted are exclusive of applicable taxes. Taxes will be added to the final invoice as per Government of Pakistan regulations and shall be the responsibility of the Client.
    • Security Deposit: All projects, including Consultations, require an initial, non-refundable Security/Booking Deposit of PKR 7,500/. This amount is later adjusted/credited against the advance payment (70% milestone) for 3D Layout or 3D Modelling services, but is forfeited for Consultation-only services.
    • Payment Milestones: Payments for 3D Layout and 3D Modelling projects are structured as follows:
      • Step 1 (Booking): Deposit of PKR 7,500/- (Security Deposit).
      • Step 2 (Advance): 70% of the total service fee (adjusted for the deposit) upon Proposal approval, before commencement of design work.
      • Step 3 (Final): Remaining 30% of the total service fee upon final delivery and client satisfaction.
    • Payment Methods: Payments can be made via cash, POS card payment, or bank transfer to The Shape Interiors’ official account.
    • Effect of Delay: Design work will only commence or resume after confirmation of payment deposits. Delayed payments by the Client may result in extended project timelines.
  3. Client Responsibilities and Input
    • Data Accuracy: The Client is solely responsible for providing accurate and complete site measurements, photos, videos, and any CAD files. The Shape Interiors shall not be liable for any errors, costs, or delays arising from inaccurate or incomplete Client-provided data.
    • Timely Feedback: The Client must provide all requested feedback and approvals in a timely manner. Feedback delays exceeding two (2) working days from the date of concept submission may result in the project being put on hold, potential additional charges, or forfeiture of complimentary revision eligibility.
    • Communication of Changes: The Client must inform The Shape Interiors of any on-site changes or decisions that may impact the design before they are implemented. The Shape Interiors is not responsible for errors or non-compliance resulting from changes made without its knowledge or approval.
  4. Intellectual Property and Promotional Rights
    • Ownership: All intellectual property rights, including copyrights, in the 3D models, layouts, designs, concepts, and related materials created by The Shape Interiors shall remain the exclusive property of The Shape Interiors.
    • License: The Client is granted a limited, non-transferable, non-exclusive license to use the final, delivered files solely for viewing, reference, and implementation for the specific project site described in the Proposal. Any other use, reproduction, or distribution is strictly prohibited.
    • Promotional Rights: The Shape Interiors reserves the right to use all project renders, images, and documentation for promotional purposes (website, social media, marketing, etc.).
    • Confidentiality Request: If the Client requires strict project confidentiality and an opt-out from promotional use, this must be requested in writing. A Confidentiality Fee may be applied to the total project cost.
  5. Exclusions and Limitation of Liability
    • Non-Execution Role: The Shape Interiors does not provide labor, material procurement, contracting, execution, or physical supervision as part of its standard service. Our role is strictly to deliver a complete, high-quality design concept and guidance.
    • Limited Liability: The maximum liability of The Shape Interiors under this agreement, regardless of the cause or form of action (including negligence), shall not exceed the total amount paid by the Client for the specific service under dispute.
    • Force Majeure: The Shape Interiors shall not be liable for any delay or failure in performance caused by events beyond reasonable control, including, but not limited to, strikes, natural disasters, government actions, or unforeseen public holidays. Timelines will be extended reasonably in such cases.
    • Disclaimer on Implementation: The Shape Interiors is not responsible for the execution quality, material defects, or structural integrity issues that arise during the physical construction phase, which is handled by the Client’s contractor.
  6. Governing Law and Dispute Resolution
    • Governing Law: This Agreement shall be exclusively governed and construed in accordance with the Laws of Pakistan.
    • Dispute Resolution: Any dispute arising under or in connection with this agreement shall be initially addressed through good-faith negotiation. If unsuccessful, the dispute shall be settled by arbitration in Karachi, Pakistan, under the provisions of the Pakistan Arbitration Act. The decision of the arbitrator(s) shall be final and legally binding.
  7. Termination and Cancellation
    • Client Cancellation: In the event of project cancellation by the Client, all payments made are strictly non-refundable and non-adjustable. If cancellation occurs prior to commencement, the initial PKR 7,500/- deposit is forfeited as an administrative fee.
    • Termination by The Shape Interiors: The Shape Interiors reserves the right to terminate this agreement at any time, for any reason, by providing written notice. In such case, work completed up to that point will be handed over, and all payments made shall remain non-refundable.

Section 2: Specific Terms for Interior Design Consultancy

  1. Consultancy Service Scope
    • Service Definition: The Consultancy service includes a two-hour dedicated online session with a senior designer, along with the provision of a pre-consultation questionnaire, and one round of follow-up for clarifications.
    • Fee Structure: The Consultation Fee is PKR 7,500/-. This fee is non-refundable and is forfeited if the Client does not proceed with 3D Layout or 3D Modelling services.
    • Pre-Session Requirements: The Client must complete the questionnaire and submit all required data (measurements, photos, videos) prior to the scheduled session to ensure the session is productive.
    • Deliverable: The deliverable is the expert advice and strategic guidance provided verbally during the session and in any subsequent brief communication. No physical drawings, models, or formal written reports are included.
    • Non-Applicability: Terms regarding revisions, payment milestones (70%/30%), and source file requests related to 3D services do not apply to the Consultancy service.

Section 3: Specific Terms for 3D Layout & Composition Planning

  1. 3D Layout Service Scope and Pricing
    • Service Definition: This service focuses on the precise engineering of spatial flow, functional zoning, and accurate placement/scale of key elements, delivered as a 3D Layout/Floor Plan.
    • Pricing: Charged at PKR 250/- per square foot (sq. ft.). The total area is calculated based on the confirmed final measurement of the space as defined in the Proposal.
  2. Project Timelines
    • Standard Delivery: The project timeline is based on the size of the space: 10 working days for every 1,000 sq. ft. of space.
      • Example: 1001–2000 sq. ft. requires 20 working days.
    • Working Days Definition: Working days are Monday to Friday only. Saturdays, Sundays, public holidays, or unexpected company off-days are strictly excluded from the timeline calculation.
  3. Meetings and Revisions
    • Included Meetings: The service includes a structured number of meetings to ensure both the Client and contractor clearly understand every design detail. These meetings are primarily conducted online (video/audio conference). Physical on-site attendance is limited to projects located within Karachi only, subject to availability.
      • 0–1000 sq. ft. – 7 meetings
      • 1001–2000 sq. ft. – 14 meetings
      • 2001–3000 sq. ft. – 21 meetings
    • Complimentary Revisions: The service includes two (2) complimentary rounds of revisions limited strictly to the original layout scope and design requirements.
    • Additional Revisions: Revisions beyond the two complimentary rounds, or requests for a new layout concept, will be billed separately based on complexity.

Section IV: Specific Terms for 3D Modelling

  1. 3D Modelling Service Scope and Pricing
    • Service Definition: This service provides photorealistic visualization, including detailed modeling, material integration, and high-resolution renders/360° views.
    • Pricing: Charged at PKR 500/- per square foot (sq. ft.). The total area is calculated based on the confirmed final measurement of the space as defined in the Proposal.
  2. Deliverables and Exclusions
    • Standard Deliverables: The main deliverable is the detailed 3D Model and final set of high-resolution still and 360° renders, as specified in the Proposal.
    • Standard Exclusions: The following items are not included in the standard service fee:
      • Construction drawings, wall markings, or architectural/technical drawings.
      • Bill of Quantities (BOQ).
      • Source Files (e.g., SketchUp).
      • Physical printouts.
    • Optional Purchased Items:
      • BOQ: Available at an additional charge of 50% of the total service fee.
      • Source File: Available at an additional charge of 50% of the total service fee.
      • Printouts: Charged separately based on volume and format.
  1. Project Timelines
    • Standard Delivery: The project timeline is based on the size of the space: 10 working days for every 1,000 sq. ft. of space. (See Clause 10.2 for Working Days Definition).
    • Early Delivery: No partial or early renders will be shared before the scheduled delivery date to maintain workflow consistency and design quality.
  2. Revisions and Additional Charges
    • Complimentary Revisions: Includes two (2) complimentary rounds of revisions limited strictly to the original design concept and scope defined in the Proposal.
    • Revision Policy: Feedback on the first concept must be provided within two (2) working days to utilize the complimentary revision rounds.
    • Paid Revision Charges (Beyond Complimentary Scope):
      • Still Render: PKR 2,500 per render.
      • 360-degree Render: PKR 7,500 per render.
    • Unexpected/Mid-Project Changes: If the Client requests significant changes to the scope, concept, or layout mid-project, a transparent discussion will be held regarding the impact on cost and timeline. Such changes will incur additional charges and require a written scope amendment.
  3. Post-Delivery Support and Supervision
    • Post-Sales Support: The Shape Interiors will remain available for 60 days after final delivery for minor styling adjustments or design clarifications. Involvement beyond this period is subject to availability and possible charges.
    • Guidance and Included Meetings: The project fee includes the specified number of online meetings (as defined in Clause 11.1) dedicated to explaining the design details and specifications to the Client and their contractor. Physical attendance at the project site outside Karachi is not included in the standard service fee.
    • Charged On-Site Visits (Outside Karachi) and Supervision:
      • Travel and Visit Charges: If the Client requests a physical on-site visit for a project outside Karachi, all travel expenses (airfare, accommodation, transport) must be covered by the Client, in addition to a daily fee for the designer’s time, as agreed upon in writing.
      • Supervision: General supervision, if required by the Client, is charged at PKR 7,500/- per day (Timing: 09:00 AM to 07:00 PM). This daily rate applies only to sites within Karachi.
      • Additional Time/Out-of-Hours Visits (Karachi): Any additional on-site time or out-of-hours visits requested within Karachi will be billed separately at an agreed hourly rate.

This amount is later adjusted/credited against the advance payment (70% milestone) for 3D Layout or 3D Modelling services, but is forfeited for Consultation-only services.

    • Deliverable: The deliverable is the expert advice and strategic guidance provided verbally during the session and in any subsequent brief communication. No physical drawings, models, or formal written reports are included.
    • Non-Applicability: Terms regarding revisions, payment milestones (70%/30%), and source file requests related to 3D services do not apply to the Consultancy service.

      • Additional Time/Out-of-Hours Visits (Karachi): Any additional meeting or out-of-hours service requested will be billed separately at an agreed hourly rate.
