Clear Terms for a Thoughtful Design Experience

These Terms & Conditions set out the agreement between The Shape Interiors and the individual or business engaging our services.

Our aim is to keep every engagement clear from the beginning. These terms explain the responsibilities that apply when you purchase a service or subscription, how our design work may be used, and the principles that support a professional relationship throughout your project.

These Terms & Conditions should be read together with our Service Policy, Refund & Cancellation Policy and Privacy Policy, along with any applicable Proposal, Invoice or service-specific terms presented before payment.

By completing a payment, you confirm that you have read, understood and agreed to the terms and policies applicable to your purchase.

1. About The Shape Interiors

The Shape Interiors is an interior design studio providing professional design services to clients and businesses globally.

Our services may include Interior Design Consultancy, 3D Layout, 3D Modelling and 3D Modelling subscription services, together with related design guidance and support as applicable to the selected service.

The specific scope, price, deliverables and requirements of an engagement may be further defined through the relevant service page, Proposal, Invoice, project communication or other information presented before payment.

2. Entering an Agreement

When you purchase a service or subscription from The Shape Interiors, you enter into an agreement based on:

Where a Proposal or Invoice contains project-specific information such as scope, area, deliverables, price or timeline, that information forms part of the agreement for that particular engagement.

Your Authority to Proceed

You must be legally capable of entering into the agreement applicable to your purchase.

If you purchase a service or subscription on behalf of a company, partnership, organization or another legal entity, you confirm that you have the authority to act on its behalf and agree to the applicable terms.

3. Proposals, Scope & Confirmation

Proposals and quotations issued by The Shape Interiors remain valid for 7 calendar days, unless a different validity period is expressly stated.

After this period, pricing, availability and timelines may be reconfirmed before the project proceeds.

The confirmed scope is based on the project area, requirements, information and deliverables agreed before work begins.

If the project requirements materially change after confirmation, the additional or changed work may require a revised scope, price and timeline.

4. Payments

All services are 100% prepaid before the applicable work begins.

Payment confirms your intention to proceed and allows The Shape Interiors to allocate professional time, scheduling capacity and resources to your engagement.

Where a subscription is purchased, payment activates the applicable billing cycle or annual subscription arrangement according to the selected plan.

Payment Acceptance

Before completing an online payment, you may be required to actively confirm your acceptance of the applicable policies.

By making a payment to The Shape Interiors, you confirm that you have read, understood and agreed to these Terms & Conditions, Service Policy, Refund & Cancellation Policy and Privacy Policy, together with any applicable Proposal, Invoice or service-specific terms presented before payment.

Pricing & Currency

The applicable price and currency are confirmed before payment.

The price confirmed by The Shape Interiors is the amount charged by The Shape Interiors. We do not add taxes based solely on your country or location.

Any tax, duty, withholding obligation, bank charge, transfer fee, currency-conversion cost or similar amount independently imposed on you by your jurisdiction, bank, financial institution or payment provider remains your responsibility.

5. Client Responsibilities

A successful design process depends on accurate information and timely communication.

You are responsible for providing accurate measurements, dimensions, plans, CAD files, photographs, videos, requirements, preferences and other information reasonably required for your selected service.

The Shape Interiors is entitled to develop its work based on the information supplied by you.

If information provided to us is inaccurate, incomplete or subsequently changed, we are not responsible for resulting discrepancies, redesign requirements, delays or additional work arising from that information.

Where necessary, additional work resulting from incorrect or changed information may require a revised scope, additional payment or revised timeline.

Communication & Feedback

You are also responsible for providing required feedback, approvals and decisions within a reasonable timeframe.

Where required feedback or information remains outstanding for more than 7 working days, the original project schedule may be affected.

Where required communication remains outstanding for 30 calendar days, the project may be placed into inactive status.

The treatment of inactive projects and subsequent resumption is explained further in our Service Policy.

6. Design Services & Deliverables

The deliverables provided by The Shape Interiors depend on the service and scope purchased.

The final deliverables are those applicable to the confirmed service, Proposal or project scope.

Services may include design consultation, spatial planning, 3D design development, visualizations, renders, 360° views and relevant design information, depending on the service purchased.

Not every deliverable is included with every service.

Source & Working Files

Editable models, working files, source files, internal development files and other production materials are not included as standard deliverables.

Where appropriate and available, certain source or working files may be requested separately and may be provided subject to an additional quoted fee.

Payment for final deliverables does not automatically transfer ownership of the underlying working files, design methods, systems or production materials used to create them.

7. Timelines

Project timelines depend on the area, scope and service being provided.

Unless otherwise confirmed, our standard initial design timelines are calculated according to the project-area structure set out in our Service Policy.

Working days are Monday to Friday. Saturdays, Sundays, public holidays and unexpected company off-days are excluded.

A project timeline begins only after:

  • Full payment has been received
  • All required project information has been provided
  • The necessary consultation, brief or design direction has been completed and sufficiently confirmed

The stated project timeline applies to the initial design delivery. Revision periods, client response times and additional work are separate.

The Shape Interiors will make reasonable efforts to work within confirmed timelines. Where a delay occurs because of circumstances outside our reasonable control, client delays, changed requirements, incomplete information or third-party dependencies, the timeline may be adjusted accordingly.

8. Revisions & Changes in Scope

Eligible 3D Layout and 3D Modelling projects include two complimentary revision rounds within the originally confirmed scope.

A revision means refinement of the existing confirmed design direction.

A new concept, additional space, substantially different requirements, a new design direction or another material change to the confirmed project is considered a change of scope rather than a complimentary revision.

Complimentary revisions should be requested and completed within 40 calendar days of the applicable final design delivery.

9. Implementation & Third Parties

The Shape Interiors provides professional design direction and information intended to communicate the approved design.

Where applicable, we may also provide online design clarification and contractor-support meetings according to the allowances and support periods described in our Service Policy.

The Shape Interiors does not perform physical construction, fabrication, installation or workmanship as part of its standard design services unless expressly agreed otherwise in writing.

Your contractor, builder, fabricator, supplier, installer or other execution professional remains responsible for verifying site conditions and dimensions before execution and for determining appropriate construction methods, structural requirements, procurement, fabrication, installation, safety and workmanship.

The Shape Interiors is not responsible for errors, defects, delays, substitutions, workmanship issues, installation problems, structural matters, material variations or deviations introduced by contractors, suppliers, fabricators, installers or other third parties.

If a design detail requires clarification, you or your execution team should contact The Shape Interiors before proceeding with that element.

10. Materials, Products & Visual Representation

3D visualizations are intended to communicate the proposed design direction as accurately and clearly as reasonably possible.

Actual materials, finishes, colours, textures, furniture, lighting and products may vary from their digital representation because of factors such as screen settings, lighting conditions, manufacturing variations, material batches, availability and physical characteristics.

Where specific products or materials are represented in a design, their future availability cannot always be guaranteed.

If a specified item becomes unavailable, an appropriate alternative may need to be considered during implementation.

11. Intellectual Property

Unless otherwise expressly agreed in writing, The Shape Interiors retains authorship and intellectual property rights in the original design work it creates.

This includes the underlying creative work, concepts, design development, working materials and other proprietary materials used in creating the final deliverables.

Your permitted use of final deliverables depends on whether the engagement is a regular project or a subscription project.

Regular Projects

Final approved deliverables from regular projects are provided for your own project, reference and implementation.

You may share and display your project for legitimate personal or ordinary business purposes.

However, The Shape Interiors’ design work may not be resold, relicensed or commercially represented as another designer’s work. You may not falsely claim authorship of design work created by The Shape Interiors or authorize another person or business to do so.

Subscription Projects

Final approved visuals created through a 3D Modelling subscription may be presented by the subscriber to their own customers under their own business identity.

Subscribers are not required to publicly credit or disclose The Shape Interiors when presenting those approved visuals to their customers.

This permission applies to final approved deliverables and does not transfer ownership of The Shape Interiors’ source files, working files, underlying methods, systems or other proprietary materials.

12. Portfolio Use & Confidentiality

The Shape Interiors may display completed regular-project design work through its website, portfolio, social media, publications, presentations and other professional or promotional channels.

If confidentiality is required for a regular project, this should be discussed and agreed before the project begins.

Subscription Confidentiality

Subscription projects are treated differently.

The Shape Interiors will not publicly showcase a subscriber’s project without the subscriber’s permission.

This allows businesses using our subscription service to work with The Shape Interiors as a discreet design resource.

Confidential Information

During an engagement, either party may receive non-public information reasonably understood to be confidential.

Both parties should treat genuinely confidential project, business and personal information responsibly and should not intentionally disclose it for unrelated purposes without appropriate permission, except where disclosure is reasonably necessary to provide the service or required by law.

13. 3D Modelling Subscriptions

3D Modelling subscriptions provide a defined amount of design capacity during each active billing cycle.

The applicable plan determines the monthly capacity available.

Capacity may be distributed across multiple eligible projects or spaces during the active billing cycle, and there is no fixed project-count restriction within the available capacity.

Unused capacity does not roll over into another billing cycle.

Additional capacity, mid-cycle upgrades, renewal rules and annual subscription arrangements are governed by the subscription terms described in our Service Policy.

Monthly Subscriptions

Monthly subscriptions have no minimum long-term commitment.

A subscriber may choose not to renew the next billing cycle without a cancellation fee.

Once a paid billing cycle has begun, payment for that billing cycle is non-refundable whether all, part or none of its available capacity is used.

Annual Subscriptions

Annual subscriptions are prepaid arrangements that provide an additional pricing benefit compared with paying the standard monthly price throughout the year.

Annual prepayment does not create a single annual capacity pool. The selected plan’s capacity continues to operate through individual billing cycles.

Annual subscribers may end their subscription early.

Where an annual subscription ends early, each billing cycle that has already begun is recalculated at the plan’s standard monthly rate. The annual pricing benefit no longer applies to the used period, and the remaining eligible prepaid balance is refunded.

14. Cancellations & Refunds

Refund and cancellation eligibility depends on the stage and circumstances of the engagement.

If cancellation is requested before work or project allocation has begun, The Shape Interiors may determine whether the payment, or an eligible portion of it, can be refunded.

Once project allocation or substantive work has begun, payments are generally non-refundable because professional time, scheduling capacity and resources have already been committed.

A change of mind, decision not to proceed, missed engagement, failure to use the service or dissatisfaction that does not result from our failure to provide the agreed service does not automatically create a right to a refund.

Monthly subscription billing cycles that have begun are non-refundable.

Annual subscription cancellations are handled according to the recalculation and eligible-balance process described in our Refund & Cancellation Policy.

15. Our Right to Suspend or Discontinue an Engagement

The Shape Interiors may suspend or discontinue an engagement where circumstances make the professional relationship impractical or inappropriate to continue.

This may include material non-payment, persistent non-cooperation, abusive or inappropriate conduct, misuse of our work, repeated failure to provide information necessary for the project, or material breach of the agreed terms.

Where an engagement is discontinued for these reasons, any financial settlement will take into account the circumstances, work already completed, professional time and resources already committed, and payments already received.

Discontinuation by The Shape Interiors does not automatically make all previous payments refundable.

16. If We Are Unable to Continue

If The Shape Interiors is unable to provide or complete an agreed service for a reason attributable to us, we will assess the circumstances and the work already completed.

An appropriate resolution may include completing or correcting the service, rescheduling, providing an appropriate credit, or refunding an eligible unearned balance.

The appropriate resolution will depend on the stage of the engagement and the portion of the agreed service that remains outstanding.

17. Professional Responsibility & Limitations

The Shape Interiors will provide its services with reasonable professional care and in accordance with the scope confirmed for the engagement.

Our design services are intended to provide professional interior design planning, visualization and guidance. They do not replace services that legally or technically require appropriately qualified architects, structural engineers, MEP consultants, contractors or other licensed or specialist professionals.

Where specialist approval, engineering, structural assessment, regulatory approval or technical certification is required, responsibility for obtaining the appropriate professional input or approval remains with the client and relevant execution professionals.

Nothing in these Terms & Conditions is intended to exclude or limit a responsibility that cannot lawfully be excluded or limited under applicable law.

18. Circumstances Beyond Reasonable Control

Neither party should be treated as having failed to perform an obligation where performance is materially prevented or delayed by circumstances genuinely beyond reasonable control.

Such circumstances may include significant service outages, natural disasters, government restrictions, widespread emergencies, serious infrastructure failures or other comparable events that could not reasonably have been prevented.

Where such circumstances affect a project, we will communicate the impact where reasonably possible and work toward an appropriate revised schedule or resolution.

19. Website & Digital Information

Information presented on our website is intended to explain our services, processes, pricing and policies as clearly as possible.

We may update website content, service descriptions, pricing structures, subscription plans and policies as our business evolves.

Changes to publicly available information do not automatically alter the terms already accepted for a confirmed paid engagement.

Where there is a material difference between general website information and a project-specific Proposal or Invoice accepted for a particular engagement, the project-specific information will apply to that specific scope where appropriate.

20. Privacy & Personal Information

The Shape Interiors may collect and process information reasonably necessary to communicate with you, understand your project, provide the purchased service, process transactions, maintain appropriate business records and operate our website and related systems.

The types of information collected, how it may be used and other relevant privacy information are explained in our Privacy Policy.

By using our website or engaging our services, you acknowledge that relevant information may be processed as described in the applicable Privacy Policy.

21. Resolving Concerns

If you have a concern regarding your project, payment, deliverables or experience with The Shape Interiors, we encourage you to contact us so the matter can be reviewed properly.

We will consider the confirmed scope, relevant communications, work completed, applicable policies and circumstances of the engagement when reviewing a concern.

Where an issue can reasonably be corrected or clarified, we prefer to address it professionally and directly.

22. Governing Terms

These Terms & Conditions form part of the agreement governing services purchased from The Shape Interiors.

The engagement is also subject to the applicable Service Policy, Refund & Cancellation Policy, Privacy Policy and any project-specific Proposal, Invoice or service terms accepted in connection with the purchase.

If a particular provision is found to be invalid or unenforceable under applicable law, the remaining provisions will continue to apply to the extent permitted.

A failure by either party to immediately enforce a provision does not automatically mean that the provision has been waived.

23. Updates to These Terms

The Shape Interiors may update these Terms & Conditions as our services, systems and operational requirements evolve.

Updated terms apply prospectively unless otherwise appropriately agreed.

For an already confirmed paid engagement, the terms accepted in connection with that transaction remain relevant to that engagement. A later website update will not be used to unfairly alter the terms of an existing paid project or subscription.
